These terms are a binding agreement between you and Alileus governing your use of the platform. By accessing or using Alileus, you agree to them. If you do not agree, do not use the platform.
Alileus is a venture studio platform. Each venture is a working product around which a team forms; some ventures are built in-house and some are pitched by founders. Alileus is not a broker, dealer, financial or investment advisor, employer, escrow agent, or guarantor of any outcome, and it does not endorse any venture, person, or opportunity.
You must be at least 18 and legally able to enter a binding agreement to use the platform. You are responsible for all activity under your account and for keeping access to your sign-in email secure. Notify us promptly of any unauthorised use.
Venture pages and their write-ups are public, and aggregate figures (such as interest counts) may be shown. Do not post anything you are not comfortable being associated with the platform.
Applying to join a venture makes your profile and the note you submit available to that venture's owner for review. Any resulting conversation, agreement, engagement, employment, or investment is solely between you and the other party. Alileus is not a party to it, does not vet participants, and makes no representation or warranty about any venture, person, claim, valuation, or return.
Ideas and proposals are submitted voluntarily and on a non-confidential basis. We receive many submissions and may already be developing, or may in the future develop, ideas similar to yours. Submitting a proposal creates no partnership, joint venture, employment, or obligation of any kind on our part, and no obligation to review, respond to, use, or keep it confidential.
You keep ownership of your idea, but you grant Alileus a worldwide, royalty-free, perpetual, irrevocable licence to use any feedback or suggestions you give us, and to review and act on submissions in operating the platform, in each case without compensation or attribution.
You retain rights in the content you submit. You grant Alileus a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and use that content as needed to operate, secure, promote, and improve the platform. You represent that you have the rights to grant this and that your content does not infringe anyone's rights or any law.
Nothing on the platform is investment, legal, tax, or financial advice, or an offer, solicitation, or recommendation to buy, sell, or invest in any security or asset. You are solely responsible for your own due diligence and decisions and should seek independent professional advice.
You will not misuse the platform, including: any unlawful, misleading, defamatory, infringing, or abusive activity; impersonation; harvesting data; posting malware; interfering with or overloading the service; or attempting unauthorised access. We may remove content and suspend accounts that, in our judgement, breach these terms.
The platform relies on and may link to third-party services and sites. We do not control them, are not responsible for them, and your use of them is at your own risk and subject to their terms.
We provide the platform on an ongoing but not guaranteed basis and may change, suspend, limit, or discontinue any part of it, and may update these terms, at any time. Where changes are material we will update the date above; continued use means you accept the change.
The platform and everything on it are provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation, to the fullest extent permitted by law.
To the fullest extent permitted by law, Alileus and its founders, team, and providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or opportunity, arising out of or relating to your use of the platform or any engagement, agreement, or dealing formed through it, even if advised of the possibility.
To the fullest extent permitted by law, our total aggregate liability for all claims relating to the platform will not exceed one thousand Saudi Riyals (SAR 1,000).
You will indemnify and hold harmless Alileus, its founders, team, and providers from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the platform, your content, your dealings with other users, or your breach of these terms or any law.
You may stop using the platform at any time. We may suspend or terminate your access at any time, with or without notice, including for any breach of these terms. Provisions that by their nature should survive termination will survive.
These terms are governed by the laws of the Kingdom of Saudi Arabia. The courts of Riyadh will have exclusive jurisdiction over any dispute, unless we agree in writing to resolve it by arbitration in Riyadh under the rules of the Saudi Center for Commercial Arbitration.
If any provision is unenforceable, the rest remain in effect. Our failure to enforce a right is not a waiver. You may not assign these terms; we may assign them. These terms are the entire agreement between us about the platform.
